Terms of Service

These Terms of Service ("Terms") govern your access to and use of Linchpin (the "Service"), operated by Linchpin Software LLC ("Linchpin," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Linchpin provides modular business tools for self-employed people and small businesses, which may include invoicing, scheduling, inventory, receipt capture, and contractor/1099 management. You choose which modules to enable. We may add, change, or remove features over time.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account.
3. Subscriptions, billing & cancellation
Paid modules are billed monthly through our payment processor (Stripe). Turning on a module starts a paid month immediately. Bundle discounts apply automatically based on the number of active modules. Turning off a module cancels its auto-renewal — you keep access through the end of the month you already paid for, after which it lapses. Except where required by law, payments are non-refundable, including for partial months. Applicable taxes may be added. You can manage or cancel your subscription at any time by logging into your account and opening the billing portal.
4. Your data and content
You retain ownership of the data and content you put into the Service (for example, your clients, invoices, receipts, inventory, and contractor records). You grant us a limited license to store and process that content solely to operate and improve the Service. You are responsible for having the rights to the data you upload and for your use of it, including any personal information about your own clients or contractors.
5. Tax, legal & financial disclaimer
Linchpin is a software tool, not a tax, accounting, legal, or financial advisor. Features that help prepare or file forms (including 1099-NEC filing through third-party providers such as Track1099/Avalara) do not constitute tax or legal advice. You are solely responsible for the accuracy, completeness, and timely filing of your tax and compliance obligations. Verify all figures and consult a qualified professional before filing.
6. Third-party services
The Service relies on third parties including Stripe (payments), Track1099/Avalara (1099 e-filing and W-9 collection), Google Cloud (receipt scanning), Resend (email), OpenAI (support assistant), Supabase, and Vercel (hosting and data storage). Your use of those features may be subject to those providers' terms. We are not responsible for third-party services.
7. Acceptable use
You agree not to misuse the Service, including by breaking the law, infringing others' rights, uploading malicious code, attempting to gain unauthorized access, scraping, or overloading the Service. You also agree not to use the Service to advertise or sell goods or services unrelated to your own business use of Linchpin, and not to sell, rent, or otherwise transfer your account or profile to anyone else. We may suspend or terminate accounts that violate these Terms.
8. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, Linchpin will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the six months before the event giving rise to the claim. Any claim arising out of these Terms or the Service must be brought within one (1) year after the claim first arose, or it is permanently barred.
10. Indemnification
You agree to indemnify and hold harmless Linchpin from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

Your notice must include the information required under 17 U.S.C. § 512(c)(3) — identification of the copyrighted work, the material you claim is infringing and its location, your contact information, and a statement of good-faith belief and accuracy under penalty of perjury.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms or to comply with law. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
13. Dispute resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@uselinchpin.com. We'll try to resolve the dispute informally for at least 30 days. If we can't reach a resolution, any dispute will be resolved by binding arbitration in North Carolina, before a single arbitrator, in English. We will pay arbitration fees if they are deemed excessive under the arbitration provider's rules. Disputes will be handled individually — you and Linchpin each waive any right to bring or participate in a class action. This section does not apply to disputes about intellectual property rights, allegations of theft or unauthorized use, or claims for injunctive relief, any of which may be brought in court.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and email the address on your account. Continued use after changes means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. For any dispute not subject to arbitration under Section 13, the courts of North Carolina have exclusive jurisdiction.
